Terms & Condition
Home Terms & Condition

Welcome to Mirak Industries. These Terms & Conditions govern enquiries, quotations, product development, order acceptance, manufacturing and supply of products by Mirak Industries. By submitting an enquiry or placing an order, customers acknowledge that these terms may apply to their transaction, along with any specific terms mutually agreed in writing.

1. Enquiries and Quotations

All enquiries submitted to Mirak Industries are subject to review based on the information provided by the customer, including product details, drawings, samples, material requirements, quantities and intended applications.

Quotations are issued based on the specifications and commercial details available at the time of preparation. Any quotation validity, pricing, taxes, payment terms, tooling charges, transportation costs or other applicable conditions will be specified in the quotation where relevant.

A quotation does not constitute final acceptance of an order. Final acceptance is subject to written confirmation by Mirak Industries.

2. Product Availability and Order Confirmation

Product availability depends on the product type, specifications, material requirements, production capacity and current manufacturing schedule.

Standard products may be subject to stock availability or manufacturing lead times. Customized products require a separate technical and production assessment before acceptance.

An order will be considered confirmed only after acceptance by Mirak Industries in writing, including confirmation of the agreed product specifications, quantity, pricing and other applicable conditions.

Any changes requested after order confirmation may require a review of pricing, production schedules and delivery timelines.

3. Delivery Timelines

Delivery timelines are estimated based on the order specifications, material availability, tooling requirements, production workload and other relevant factors.

Actual delivery schedules may change due to production planning, raw material procurement, customer approvals, tooling development, technical clarifications or circumstances beyond our reasonable control.

Mirak Industries will make reasonable efforts to communicate significant changes to the expected schedule. Any delivery date communicated before final order confirmation should be treated as an estimate unless expressly agreed otherwise in writing.

4. Raw Material Availability and Procurement

The manufacture of rubber components depends on the availability and suitability of the required rubber compounds, metal inserts and other materials.

Certain materials or application-specific compounds may require procurement from external suppliers and may involve additional lead times. Material availability, supplier schedules and procurement conditions may affect production planning and delivery commitments.

Where a specified material is unavailable or subject to an extended lead time, Mirak Industries may discuss possible alternatives with the customer. No alternative material will be treated as approved without the necessary customer agreement.

5. Standard and Customized Products

Mirak Industries may supply standard products as well as customized components manufactured according to customer-specific requirements.

Standard products are supplied according to the applicable product details and specifications confirmed at the time of order.

Customized products may be developed or manufactured based on customer drawings, samples, dimensions, tolerances, material requirements and application specifications. Their feasibility, pricing, tooling requirements and production lead times will be assessed individually.

Customized products may require dedicated moulds, tools, development activities or special material procurement. Any applicable development charges, tooling costs, minimum quantities or other commercial conditions will be communicated where relevant.

6. Customer Drawings, Samples and Specifications

Customers are responsible for providing accurate and complete drawings, samples, dimensions, tolerances, material specifications and application details required for their orders.

Where approval is requested, customers should review and approve the relevant drawings, samples, specifications or other technical documents before production proceeds.

Any revision to an approved drawing, sample, specification or design may affect feasibility, tooling, pricing and delivery timelines. Revised requirements should be communicated in writing and may require a revised quotation or order confirmation.

Manufacturing will be based on the specifications and approvals agreed for the order. Customers should ensure that the supplied technical information is suitable for the intended application.

7. Customer-Specific Moulds and Tooling

Certain customized rubber components may require dedicated moulds, dies, tools or other production aids.

The availability, development, maintenance, modification and replacement of such moulds and tools depend on the component design, production requirements, technical feasibility and agreed commercial arrangements.

Tooling development may involve additional costs and lead times. Production schedules may be affected if moulds or tools require development, correction, maintenance or replacement.

Ownership, storage, maintenance responsibilities, permitted use and handling of customer-funded or customer-supplied tooling should be established in the relevant quotation, purchase order or separate written agreement.

Any modifications requested after tooling approval may require additional evaluation, charges and lead time.

8. Pricing and Commercial Terms

Prices are based on the product specifications, order quantities, material requirements, tooling needs and other conditions stated in the quotation.

Changes to quantities, materials, designs, specifications or order schedules may result in revised pricing or commercial terms. Applicable taxes, transportation, packaging, tooling or development charges will be handled as specified in the quotation or order confirmation.

Payment terms, where applicable, will be communicated in the relevant quotation, invoice or written order confirmation.

9. Product Inspection and Quality

Mirak Industries aims to manufacture products in accordance with the specifications and requirements agreed for each order.

Customers should communicate any specific inspection criteria, testing requirements, documentation needs or acceptance standards before order confirmation. Such requirements are subject to technical feasibility and written agreement.

Any reported product discrepancy should be communicated with relevant details, such as the order reference, part identification, quantity affected and supporting photographs or inspection information, where available. The matter will be reviewed against the confirmed order specifications and applicable agreed terms.

10. Order Changes and Cancellation

Requests to change or cancel an order after confirmation must be submitted in writing and are subject to acceptance by Mirak Industries.

Changes or cancellations may affect materials already procured, production already completed, dedicated tooling, development work and committed manufacturing capacity. Any applicable charges or revised conditions will be assessed based on the order status and the terms agreed between the parties.

Customized products and tooling-related orders may have specific change or cancellation conditions, which should be agreed before work begins.

11. Intellectual Property and Confidential Information

Customer drawings, designs, samples, specifications and other confidential information provided for enquiry or manufacturing purposes will be handled in accordance with the applicable agreements between the parties.

Customers are responsible for ensuring that they have the necessary rights or permissions to provide any drawings, designs, samples or technical information submitted to Mirak Industries.

Neither party should use or disclose the other party's confidential information beyond the agreed business purpose, except where disclosure is required by applicable law or otherwise permitted by written agreement.

12. Product Application and Suitability

The suitability of a rubber component depends on factors such as temperature, pressure, fluid compatibility, chemical exposure, movement, operating environment and installation conditions.

Customers should provide accurate application details to support material and product evaluation. Final product selection and application suitability should be assessed against the agreed technical requirements and actual operating conditions.

Any specific performance requirement, certification, test report or compliance requirement must be communicated in advance and is subject to written confirmation by Mirak Industries.

13. Limitation of Responsibility

Mirak Industries will address product-related concerns in accordance with the agreed order specifications and applicable law. Responsibility for a particular claim or remedy will depend on the facts, the confirmed requirements and the applicable contractual terms.

To the extent permitted by applicable law, Mirak Industries is not responsible for issues arising from inaccurate or incomplete customer specifications, unapproved design changes, improper storage, incorrect installation, misuse or operating conditions outside the agreed requirements.

Nothing in these Terms & Conditions excludes or limits any liability that cannot legally be excluded or limited under applicable law.

14. Events Beyond Reasonable Control

Production or supply may be affected by circumstances beyond reasonable control, including material shortages, supplier delays, transport disruptions, equipment breakdowns, natural events, government actions or other unforeseen operational interruptions.

In such circumstances, Mirak Industries will make reasonable efforts to communicate relevant impacts and discuss revised schedules or practical alternatives with the customer.

15. Privacy and Use of Enquiry Information

Information submitted through website forms, email or other enquiry channels may be used to respond to enquiries, prepare quotations, clarify technical requirements and manage business transactions.

Personal and business information will be handled in accordance with applicable privacy and data protection requirements. Customers should avoid submitting confidential information that is not necessary for the enquiry unless suitable arrangements have been made.

16. Amendments to These Terms

Mirak Industries may update these Terms & Conditions from time to time to reflect changes in business practices, operational requirements or applicable laws. The latest version published on this website will apply prospectively, subject to any separate written agreement and applicable law.

Any specific terms agreed in writing for an individual quotation or order will govern that transaction to the extent of any inconsistency with these general website terms.

17. Governing Law and Jurisdiction

These Terms & Conditions are subject to the applicable laws of India. Any dispute will be handled by the competent courts having jurisdiction, subject to applicable law and any separate written agreement between the parties.
